Head of Corporate, Client and Listing Services

P R I N C I P A L D U T I E S A N D R E S P O N S I B I L I T I E S:

  1. Corporate Administration and Company Secretarial
  2. Team Leadership:
    • Provide effective leadership to a team of at least 13 professionals, fostering a collaborative and high- performance culture.
    • Workforce planning and coverage for peaks/closes; foster a culture of accountability, service excellence and continuous improvement.
    • Maintain role clarity, skill matrices, succession coverage, and a structured training program across Corporate Secretary and Sponsor disciplines
  1. Strategy, Operating Model & Standards:
    • Define and continuously improve the operating model so delivery is consistent across all portfolios and entity types.
    • Publish, enforce and measure established service standards
  1. Statutory Compliance & Records Governance:
    • Ensure adequate review and controls to maintain statutory registers and minute books accurately and up-to-date at all times, upholding secure retention and controlled access.
    • Oversee timely registrar and regulatory filings.
  1. Beneficial Ownership & Economic Substance:
    • Govern end to end beneficial ownership.
    • Oversee economic substance assessments and documentation, ensuring evidential support.
  1. Board/Committee Support and Governance Quality:
    • Set the standard for meeting lifecycle execution: notices, agendas, packs, quorum checks, logistics require action oriented minutes with approvals, decisions and owners within standard service levels.
  1. Quality Assurance & Escalations:
    • Implement maker–checker and sampling programs; publish defect trends and remediation; chair monthly Quality & Risk reviews with actionable outcomes.
    • Serve as the escalation point for disputed governance interpretations, timing conflicts, or regulator queries; document decisions and rationales.
  1. Client Portfolio & Stakeholders:
    • Hold overall accountability for client satisfaction and retention across corporate portfolios; step in for high‑stakes boards and complex actions.
    • Maintain senior relationship with regulators and external parties.
  1. People, Performance & Culture:
    • Set team KPIs (service, quality, risk, and commercial) and review them periodically with leads and seniors.
    • Build bench strength through coaching, role clarity, playbooks, and rotational exposure; maintain succession for critical roles.
    • Recognize excellence; address performance gaps promptly with structured plans
  1. Listing Services (Sponsor)
  2. Sponsor Governance and Exchange Relationship:
    • Safeguard Appleby Global Services Bermuda’s Sponsor Standing, acting as executive owner of sponsor procedures, contact points and annual confirmations. Maintain a constructive, professional relationship with the Bermuda Stock Exchange (BSX).
  1. Submission Quality & Disclosure:
    • Set and enforce disclosure and drafting for offering documents, wrappers, undertakings and filings, ensuring cross-document consistency and version discipline.
    • Require comment-matrix controls so exchange queries are tracked to closure with clear accountability.
  1. Continuing Obligations:
    • Own the continuing‑obligations calendar across issuers; ensure timely, accurate disclosures and robust evidence files (internal approvals, filed copies, acknowledgements).
  1. Regulatory Horizon & Training
  • Lead horizon scanning for listing rule changes; update SOPs/templates and run targeted training to keep the team and clients current.
  1. Issue & Incident Management
  • Chair incident reviews for escalations (e.g., misstatement risk, timetable jeopardy); issue corrective actions and, where needed, client/market communications.

K N O W L E D G E , S K I L L S A N D E X P E R I E N C E R E Q U I R E D:

  • Bachelor's degree in Business, Finance, or a related field. Professional qualification or relevant certification is advantageous.
  • Fellow member of The Chartered Governance Institute (Formerly ICSA)
  • Member if the UK Society of Trust and Estate Practitioners (STEP)
  • At least 20+ years in corporate administration/company secretarial or regulated administration, with 4+ years leading multi‑level teams (Senior Manager/Senior/Admin/Assistant).
  • Strong knowledge of Bermuda corporate frameworks and exchange expectations
  • Proven experience managing and developing teams, with a focus on fostering a positive and productive work culture.
  • Track record governing listing sponsor mandates (applications and continuing obligations) and engaging with exchanges/regulators at senior level.
  • Strong understanding of regulatory requirements in Bermuda and financial services
  • Excellent communication, interpersonal, and problem-solving
